External Legal Counsel will work under the supervision of the Bank's General Counsel and Legal Services Department, in collaboration with the Bank's Treasury Department, on all aspects of the Transaction including:
(a) drafting, preparing and negotiating a comprehensive suite of program documents necessary and relevant for the establishment of a Debt Issuance Facility and issuance of notes thereunder (including but not limited to the relevant term sheet, prospectus, final terms, listing particulars, dealer agreement between the Fund and the arranger(s), agency agreement with issuing and other agents);
(b) providing legal advice and assistance on issues pertaining to English law as well as general and specific regulatory environments in connection with the establishment of a Debt Issuance Facility and issuance of notes thereunder by a multilateral development bank or other international financial institution in compliance with Regulation S and Rule 144A of the U.S. Securities Act of 1933;
(c) advising in relation to the relevant applications to the relevant regulators;
(d) finalizing and updating all legal and transactional documentation pursuant to any comments or feedback that may be received from the relevant regulators, rating agencies as well as dealers and their counsel in the Transaction.
